Service Description
An asset purchase agreement (SPA) sets out the terms and conditions for transactions in which certain assets and liabilities of a company are sold. A well-drafted APA helps to protect the interest of both parties and minimise the risk of disputes. The parties should pay close attention to: (i) defining the transferring assets and liabilities, (ii) representations and warranties related to the deal, as well as (iii) the employment law implications that an asset deal may have.
This agreement is suitable for small and medium-sized (on the lower side of the range) transactions between parties who have an understanding of the key terms and conditions of the transaction.
Main clauses include: background and purpose, definitions, purchase and sale of assets, purchase price, VAT exemption, transfer of employees, representations and warranties of seller/buyer, indemnification, specific undertakings, and confidentiality.
Language: single language (English or Finnish).
What is included in the price?
- The price of the document includes initial correspondence(s) via email (details of the case), tailor-made drafting of a legal document and one (1) round of amendment after the delivery of the first draft to the client.
- Telcos and communication via phone shall be organised on a case-by-case basis and at the sole discretion of WDL.
What happens after your purchase?
